Terms of Service

These Terms govern your use of ShepherdForms, a service operated by NHB Industrial Pte Ltd (UEN 202542682D), a company incorporated in Singapore ("we", "us", "our"). Our registered office is at 5038 Ang Mo Kio Industrial Park 2, #01-409, Singapore 569541.

In these Terms, "you" refers to the individual or organisation accepting these Terms on behalf of itself, and any of its employees, agents, or volunteers using the Service under your account.

ShepherdForms provides a software-as-a-service platform for creating event registration forms, collecting registrations, accepting payments via supported payment methods, exporting registration data, and managing related event workflows (the "Service").

We provide the Service on an "as is" and "as available" basis. We may add, remove, or change features from time to time as we improve the Service. We will give you reasonable notice of material changes via email or the application.

To use most features of the Service, you must register for an account. You agree to:

• Provide accurate and current information when registering;
• Keep your password and account credentials confidential;
• Be responsible for all activity that occurs under your account;
• Notify us promptly if you suspect unauthorised access to your account.

When you use the Service, you and your registrants provide personal data that we process on your behalf. Your obligations under Singapore's Personal Data Protection Act 2012 (the "PDPA") apply to that data. You are the data controller for your registrants' data; we act as your data intermediary.

You agree:

• To obtain valid consent from registrants for the purposes for which you collect their personal data;
• To use the Service only for lawful purposes and in compliance with the PDPA and other applicable Singapore laws;
• Not to use the Service to collect personal data of children under 13 unless you obtain proper parental consent;
• To handle registrants' data protection requests (access, correction, withdrawal) in line with the PDPA. We provide tools to help you do this within the Service.

We process your data in accordance with our Privacy Policy.

Fees for paid plans are stated on our Pricing page and are exclusive of GST.NHB Industrial Pte Ltd is GST-registered; the prevailing Singapore GST rate (currently 9%) is applied to invoices.

For per-event plans, fees are due before you publish the event. For annual plans, fees are due before the start of the subscription period. Payment is made via PayNow transfer to NHB Industrial Pte Ltd or such other methods as we may make available.

Registration payments collected from your registrants (whether by PayNow QR provided by your organisation, by a third-party payment processor such as HitPay that you have onboarded with directly, or otherwise) flow directly to your organisation. We do not hold, route, or process registration payments.

Refunds for ShepherdForms subscription fees are governed by our Refund Policy.

You must not use the Service to:

• Send unsolicited bulk communications (spam) to anyone;
• Collect or process personal data in violation of the PDPA or other applicable laws;
• Process payments for goods or services that are illegal in Singapore;
• Reverse engineer, decompile, or attempt to discover the source code of the Service;
• Interfere with the Service's operation, security, or availability;
• Impersonate any person or misrepresent your affiliation with any person or entity.

The Service, including its software, content, design, logos, and documentation, is owned by NHB Industrial Pte Ltd and is protected by Singapore and international intellectual property laws. We grant you a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

You retain ownership of all content you submit to the Service (your forms, your branding, your registrants' data, etc.). You grant us a limited licence to process that content solely to provide the Service to you.

Either party may terminate your account:

• You may terminate by closing your account in the Service or by giving us written notice via email. Termination by you is effective at the end of your current billing period.
• We may suspend or terminate your account immediately if you materially breach these Terms, including non-payment of fees, violation of the acceptable use policy, or any conduct that we reasonably believe creates risk for NHB Industrial Pte Ltd or for other users.

On termination, your access to the Service ends. We may delete your data after a reasonable retention period (typically 90 days) unless we are required by law to retain it. You should export your data before terminating.

To the maximum extent permitted by Singapore law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service;
• Our total aggregate liability to you in any twelve-month period is limited to the amount of fees you have paid us in that period (or S$100, whichever is greater).

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under Singapore law.

You agree to indemnify and hold NHB Industrial Pte Ltd harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Service in breach of these Terms or your obligations under the PDPA.

These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

We may update these Terms from time to time. We will notify you of material changes by email or via the Service at least 14 days before the new terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
